1. Seller. Nordic Pectin ApS under stiftelse (under formation), Vedbæk Stationsvej 37 C, 2950 Vedbæk, Denmark. Email: nordicpectin@gmail.com . The company is not yet registered and has no CVR number. Until a CVR number is issued, all quotes are indicative and no orders are accepted as binding .

2. Scope. These terms apply to all quotes, samples and sales from the seller. We sell to businesses only, not to consumers. The buyer's own purchase terms do not apply unless we accept them in writing.

3. Quotes and orders. Quotes are non-binding. A contract exists only when we confirm an order in writing (an order confirmation). Quantities, MOQ, prices, currency, delivery time and Incoterms are those stated in the order confirmation.

4. Samples. Samples are for evaluation only and may not be resold. Samples are not a guarantee of how a later production lot will turn out, beyond the product specification.

5. Prices and payment. Prices exclude VAT and duties unless the order confirmation says otherwise. Payment is due as stated on the invoice. Late payment carries interest under the Danish Interest Act (renteloven).

6. Delivery and risk. Delivery follows the Incoterms® 2020 term in the order confirmation. Delivery times are estimates, and a short delay does not entitle the buyer to cancel.

7. Reservation of title. The goods remain our property until paid in full, to the extent Danish law permits.

8. Inspection and complaints. The buyer must inspect the goods on arrival and notify us in writing of any defect or shortfall within 8 days of delivery. Hidden defects must be notified within 8 days of discovery. After that, the buyer can no longer claim. We may choose to replace, re-deliver, or credit the goods.

9. Specifications and the buyer's responsibility. Our products are ingredients and bases for the buyer's finished products. The buyer is solely responsible for the finished product. That includes its recipe, labelling, nutrition and health claims, allergen information, and legal compliance in each market where it is sold. Product data and allergen information are provided per lot specification.

10. Limitation of liability. Our total liability for any delivery is limited to the price paid for that delivery. We are not liable for indirect or consequential loss, including lost profit, lost production, recall costs incurred by the buyer, or loss of goodwill. These limits do not apply where mandatory law provides otherwise, including product liability for personal injury, or in cases of gross negligence or intent.

11. Force majeure. We are not liable for delay or non-delivery caused by circumstances beyond our reasonable control. Examples include supplier failure, transport or customs disruption, strikes, epidemics, and acts of authorities.

12. Governing law and venue. These terms and every contract under them are governed by Danish law. The UN Convention on Contracts for the International Sale of Goods (CISG) does not apply. Disputes are settled by the Danish courts at the seller's home venue.
